Terms of Service

1. Acceptance of Terms

By accessing or using Chamuka DrawIt (available at chamuka.ai and as downloadable software), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using Chamuka DrawIt on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree with any part of these Terms, you must not use the Service. Chamuka Labs reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

Chamuka DrawIt is an AI-powered diagramming and design platform that enables users to create, edit, collaborate on, and export diagrams and visual content. The Service is provided across several access methods:

• Web App — the full-featured editor at chamuka.ai/design
• CLI — the @chamuka-labs/drawit-cli command-line tool
• VS Code Extension — diagram editing and AI generation inside Visual Studio Code
• Desktop App — native macOS and Windows application (Tauri-based)
• MCP Server — a Model Context Protocol server allowing AI agents (e.g. Claude, GPT-4) to interact with a private diagramming workspace
• Embed SDK — a JavaScript/TypeScript library for embedding Chamuka DrawIt into third-party web applications

Chamuka Labs reserves the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

Certain features of the Service require you to create an account. You may register using an email address and password or via supported OAuth providers (e.g. Google, GitHub) through our authentication provider, Clerk. You agree to:

• Provide accurate and complete information during registration
• Keep your password and API keys confidential
• Notify us immediately at dev@chamuka.ai if you suspect unauthorised access
• Accept responsibility for all activity that occurs under your account

You must be at least 13 years of age to use the Service. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms.

4. Subscriptions, Credits, and Billing

4.1 Plans

Chamuka DrawIt offers the following subscription plans:

Credits are consumed by AI features including diagram generation, AI image generation, and MCP tool calls. Free-plan credits reset daily at midnight UTC. Paid plans currently include unlimited AI usage, subject to reasonable-use and abuse-prevention limits. Credits have no cash value. Chamuka Labs may adjust credit costs or usage limits with reasonable notice.

4.3 Payment

Paid subscriptions are processed through Stripe. By providing payment information, you authorise Chamuka Labs to charge your payment method on a recurring basis. All prices are in US Dollars (USD) unless otherwise stated. Taxes may apply depending on your jurisdiction.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard or by contacting us at dev@chamuka.ai. Cancellations take effect at the end of the current billing period. Chamuka Labs does not provide refunds for partial billing periods or unused credits, except where required by applicable law.

5. User Content

"User Content" means any diagrams, designs, text, images, or other materials you create, upload, or store using the Service.

• You retain all ownership rights in your User Content.
• You grant Chamuka Labs a non-exclusive, worldwide, royalty-free licence to store, process, and transmit your User Content solely for the purpose of providing and improving the Service.
• You are solely responsible for the legality, accuracy, and appropriateness of your User Content.
• Diagrams shared publicly (e.g. in the Gallery) are visible to all users. You may control visibility through your account settings.

Chamuka Labs does not claim ownership of AI-generated content produced at your direction. However, you acknowledge that AI outputs may not be original and could be similar to content generated for other users. You are responsible for ensuring that your use of AI-generated content complies with applicable laws.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Generate, store, or transmit content that is unlawful, harassing, defamatory, obscene, or harmful
• Attempt to gain unauthorised access to the Service, other accounts, or connected systems
• Reverse-engineer, decompile, or extract the source code of the Service (except where permitted by law)
• Use automated tools to scrape, crawl, or bulk-download diagrams or data without written consent from Chamuka Labs
• Use the Service to train competing AI or machine learning models without explicit written permission
• Resell, sublicense, or otherwise commercialise access to the Service in violation of these Terms
• Transmit malware, spam, or disruptive code
• Abuse the credit system, including through fraudulent means

Chamuka Labs reserves the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this section.

7. AI-Powered Features

Chamuka DrawIt uses third-party AI models to power diagram generation, image generation, and design suggestions. By using AI features you acknowledge:

• AI-generated content may be inaccurate, incomplete, or unsuitable for your purpose. Always review outputs before relying on them.
• Your prompts and diagram context may be transmitted to third-party AI providers (currently Google Gemini via OpenRouter and Anthropic Claude via OpenRouter). These providers have their own privacy and usage policies.
• AI image generation is powered by Pollinations and may be subject to content restrictions.
• AI outputs are not guaranteed to be free from third-party intellectual property rights. You accept responsibility for reviewing outputs for such issues.
• Chamuka Labs reserves the right to add, remove, or change AI providers at any time.

8. Real-Time Collaboration

When you use real-time collaboration features, your diagram state and edits are transmitted to other session participants via our collaboration infrastructure (PartyKit CRDT or WebSocket server). You should not share collaboration session links with untrusted parties. Chamuka Labs is not responsible for content added by other collaborators to a shared session you have invited them to.

9. API, CLI, and SDK Usage

Access to the Chamuka DrawIt API, CLI, MCP Server, and Embed SDK is governed by these Terms in addition to any separate developer documentation.

• API keys and OAuth tokens must be kept confidential. You are responsible for all usage under your credentials.
• The Embed SDK may only be used in production applications that comply with these Terms.
• Chamuka Labs may impose rate limits, throttling, or credit requirements on API usage at any time.
• OAuth applications you register must accurately describe their purpose and must not mislead users about the permissions they request.

10. Intellectual Property

Chamuka DrawIt, including its Rust WASM engine, PixiJS renderer, TypeScript packages, CLI, desktop app, VS Code extension, and all associated trademarks, logos, and documentation, is the proprietary and confidential property of Chamuka Labs and its licensors. All rights are reserved. Nothing in these Terms grants you a licence to use Chamuka Labs's trademarks or trade names without prior written consent.

The software is NOT open source. Redistribution, modification, or use outside the scope of these Terms is strictly prohibited. See the LICENSE file included with any distributed software for the full proprietary licence terms.

11. Third-Party Services

The Service integrates with third-party services. Your use of those services is subject to their respective terms and privacy policies:

• Clerk — user authentication (clerk.com)
• Stripe — payment processing (stripe.com)
• Google / Gemini via OpenRouter — AI text generation
• Anthropic Claude via OpenRouter — AI evaluation and agent features
• Pollinations — AI image generation
• PartyKit — real-time collaboration infrastructure
• Upstash Redis — credit and session caching
• Vercel — hosting, analytics, and speed insights

Chamuka Labs is not responsible for the availability, accuracy, or practices of any third-party service.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.Chamuka Labs DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR APPROPRIATE FOR YOUR NEEDS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHAMUKA LABS AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CHAMUKA LABS'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CHAMUKA LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) USD $50.

14. Indemnification

You agree to indemnify, defend, and hold harmless Chamuka Labs and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of a third party.

15. Termination

You may delete your account at any time from your account settings or by contacting dev@chamuka.ai. Upon deletion, your personal data will be handled in accordance with our Privacy Policy.

Chamuka Labs may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason at our sole discretion. Sections 5, 10, 12, 13, 14, and 16 survive termination.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws applicable to Chamuka Labs. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the competent courts of Chamuka Labs's jurisdiction.

If you are a consumer located in a jurisdiction with mandatory consumer protection laws, those rights are not affected by these Terms.

17. Changes to These Terms

Chamuka Labs may update these Terms from time to time. We will notify you of material changes by updating the "Effective date" at the top of this page and, where appropriate, by sending an email to the address associated with your account. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
